These Terms of Service govern the use of services provided by WONGA Studios. By engaging WONGA Studios for services, submitting a project request, or entering into a paid agreement, you agree to the terms outlined below. Referral commissions, affiliate partnerships, and project-partner agreements are governed by separate, standalone agreements and are not subject to these general Client Terms of Service.
1. Services Offered
WONGA Studios provides business-focused creative and technical services, including but not limited to:
- Web design and development
- Website content creation
- Managed web hosting and maintenance
- Graphic design and branding
- Motion graphics and animation
- Video production and post-production
- Commercial photography
- Social media management
- Business networking and IT support
All services are provided for business use only. WONGA Studios does not offer consumer services such as personal websites, weddings, portraits, or personal technical support.
2. Scope of Work
All work is performed based on a defined scope agreed upon in writing prior to the start of a project.
- Any work outside the agreed scope requires written approval and may incur additional fees.
- Requests for revisions, features, assets, or services not included in the original scope are considered out-of-scope.
- Verbal requests or assumptions do not modify scope.
Clear scope protects both parties and ensures predictable delivery.
3. Pricing and Payments
- Pricing is provided in advance based on the defined scope of work.
- Payment terms are outlined in the project proposal, invoice, or service agreement.
- Deposits may be required to begin work or reserve time for on-location services.
- Recurring services are billed on a monthly basis unless otherwise stated.
Failure to make timely payments may result in paused work, delayed delivery, or suspension of services.
4. Cancellations and Rescheduling
Cancellation terms vary by service and are communicated during the quoting or booking process.
For on-location photography and video production:
- A 50 percent deposit is required to reserve the scheduled date.
- Cancellations made at least 72 hours prior to the scheduled service date receive a full refund.
- Cancellations less than 72 hours prior to the scheduled service date forfeit the deposit.
Recurring services may be canceled with written notice according to the terms of the service agreement.
5. Client Responsibilities
Clients are responsible for:
- Providing accurate and complete information required to perform services
- Supplying content, assets, approvals, and feedback in a timely manner
- Reviewing and approving deliverables prior to publication or launch
Delays caused by missing information or approvals may affect timelines and delivery dates.
6. Content and Accuracy
Website content is typically based on information provided by the client.
- Clients are responsible for reviewing all content for accuracy prior to publication.
- WONGA Studios does not independently verify legal, technical, medical, or industry-specific claims unless explicitly contracted to do so.
- Final approval of content rests with the client.
7. Intellectual Property
Unless otherwise stated in a specific Statement of Work (SOW):
- Ownership and Transfer: Upon receipt of final payment in full, ownership and copyright for custom-developed graphic design, branding, and logos are transferred to the client. For all other deliverables, including photography, video production, and custom software code, the client is granted a perpetual, non-exclusive, worldwide license to use the final products for their intended business purposes.
- Proprietary Technology and Source Files: WONGA Studios retains all rights, title, and ownership of original source material, raw video footage, 3D project files, layered design files, and any proprietary code or “logic engines” developed by the studio. Access to or transfer of these working files is not included in standard projects and requires a separate written agreement and buyout fee.
- Portfolio and Promotion: WONGA Studios reserves the right to display all completed work, along with the client’s name and logo, in our professional portfolios, case studies, and marketing materials to demonstrate our expertise.
- Third-Party Licensing: Any third-party assets utilized in a project (such as stock media, fonts, premium plugins, or licensed software) remain the property of their respective owners and are subject to their own licensing terms. The client is responsible for any ongoing subscription costs or licensing renewals required to maintain these assets.
8. Hosting and Technical Services
Managed hosting and maintenance services are provided for WordPress websites built or approved by WONGA Studios.
- Hosting services include defined support, updates, monitoring, and backups as outlined in the selected plan.
- WONGA Studios is not responsible for outages, data loss, or issues caused by third-party providers, unauthorized changes, or client-installed software.
- Clients are responsible for maintaining access credentials securely.
9. Revisions and Approvals
Revision limits and approval processes are defined per project or service package.
- Excessive or out-of-scope revisions may incur additional charges.
- Delays in feedback or approval may affect project timelines.
- Approved work is considered final once delivered or published.
10. Limitation of Liability
To the maximum extent permitted by law:
- WONGA Studios is not liable for indirect, incidental, or consequential damages.
- Liability is limited to the amount paid for the services provided.
- No guarantees are made regarding search rankings, revenue outcomes, or business performance.
Services are provided on a professional best-effort basis.
11. Termination of Services
WONGA Studios reserves the right to terminate services if:
- Payment obligations are not met
- Communication becomes abusive or unreasonable
- Requests violate scope, law, or ethical standards
Clients may terminate services according to the terms of their agreement.
12. Governing Law
These Terms of Service are governed by the laws of the State of Mississippi and the courts of Harrison County, without regard to conflict-of-law principles.
13. Updates to These Terms
WONGA Studios may update these Terms of Service from time to time. The most current version will always be posted on the website. Continued use of services constitutes acceptance of updated terms.
